Short answer
Not every foreign national can open a JDG in Poland. Eligibility depends on citizenship and the specific residence basis; a PESEL number or labour-market access annotation alone is not enough. Check your status and residence decision before choosing the business structure and tax treatment.
Start with nationality
EU and EEA nationals benefit from the rules applicable to them. The official Biznes.gov.pl guide also explains the position of Swiss and US nationals. Other foreign nationals need an assessment of the business forms available under their residence status or a specific statutory rule.
JDG is an individual’s business registered in CEIDG, not a separate legal person. Being allowed to own shares in a Polish limited liability company does not automatically make you eligible for JDG.
Check the precise residence basis
Relevant grounds can include permanent residence, an EU long-term residence permit issued by Poland and specified forms of protection. Certain temporary permits may also qualify, including particular family grounds, full-time studies and other cases expressly listed in legislation.
Not every temporary permit qualifies. Match the decision, legal provision, current validity and any additional conditions. An ordinary employment-based residence card alone does not allow every foreign national to open JDG. The principal statutory categories appear in Article 4 of the Act on foreign entrepreneurs’ participation.
Ukrainian citizens: the March 2026 change
For a new registration from 5 March 2026, do not rely on the old blanket advice that lawful stay and an ordinary PESEL number are sufficient. Verify current temporary protection, including the relevant PESEL UKR status, or another independently qualifying legal basis. A PESEL number and UKR status are not the same thing.
A separate transitional rule concerns activity registered and carried on before 5 March 2026, allowing continuation during lawful stay. That rule is not a blanket route to a new JDG registration after the date. See Article 42 of the Act of 23 January 2026, Journal of Laws 2026 item 203.
What if a new residence application is pending?
An application, UPO or confirmation of lawful pending stay is not a standalone authorisation for every form of business. Continuing previously permitted activity and registering a business for the first time can involve different conditions. A passport stamp or MOS certificate alone is not enough to decide the question.
Prepare these details
- Nationality and your current residence document type.
- The legal basis and expiry date in the decision.
- Evidence of a current special status where applicable.
- Registration and operating dates of an existing JDG.
- Planned services and any licensing requirements.
Eligibility rules are national: choosing Gdańsk rather than Warsaw does not change them. The free Pobyto JDG check helps identify follow-up questions, while a precise assessment requires the documents. If JDG is unavailable, consider sp. z o.o. with a separate review of employment and residence rights. You can discuss that on the consultation page.
